Finnish electronics manufacturing services (EMS) company Scanfil has entered into an agreement to acquire Italian firm MB Elettronica, a strategic move that will expand its European presence and enhance its capabilities in key industrial verticals including aerospace, defense, healthcare, and transportation.
The deal, expected to close in the fourth quarter of 2025, will create a significant EMS player with 16 factories across four continents and more than 4,500 employees. MB Elettronica, based in Cortona, Italy, operates four manufacturing sites and employs approximately 500 people. Current MB employees will continue in their roles within the newly expanded Scanfil Group.
Scanfil, listed on the Nasdaq Helsinki, is the largest publicly traded EMS company in Europe by revenue. The acquisition of MB Elettronica, a family-owned business with a history dating back to 1961, marks a continuation of Scanfil’s strategy to strengthen its industry-specific competencies and broaden its customer base.
MB brings a set of complementary capabilities and clients to Scanfil, particularly in the aerospace and defense, healthcare and medtech, and transportation sectors. As part of the integration, MB’s headquarters in Cortona will become Scanfil’s competence center for aerospace and defense.
“By joining forces, we create a European EMS powerhouse with a strong presence in Italy and key verticals,” said Christophe Sut, CEO of Scanfil. “This partnership not only expands our footprint but also strengthens our value proposition for customers through enhanced global delivery and service capabilities.”
Roberto Banelli, CEO of MB Elettronica, emphasized the cultural alignment and long-term growth potential of the deal: “Both companies value entrepreneurship and operational excellence. With Scanfil’s global reach and financial strength, MB enters a new chapter of growth and innovation.”
Francesco Banelli, founder of MB Elettronica, reflected on the journey since 1961: “It is a proud moment to see MB take this next step. I’m confident the company will thrive as part of the Scanfil family.”
The transaction underscores growing consolidation in the EMS sector as companies seek scale, specialization, and global service capacity to meet increasingly complex customer demands.
